Terms of Service
Effective date: 1 March 2025
1. Acceptance of Terms
By accessing or using any service provided by Grambit Cloud Ltd ("Company", "we", "us"), including our website, APIs, dashboards and platform (collectively, the "Services"), you ("Customer", "you") agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of an organisation, you represent that you have the authority to bind that organisation.
If you do not agree to these Terms, you must not use the Services.
2. Description of Services
Grambit Cloud Ltd provides SaaS-based cloud infrastructure, platform engineering and managed services. Our offerings may include, but are not limited to:
- Managed cloud compute, storage and networking resources.
- Platform-as-a-Service tools for deployment, scaling and monitoring.
- API access for programmatic management of infrastructure.
- Technical support and consulting services as described in your subscription plan.
We reserve the right to modify, discontinue or introduce new features at any time. Material changes to existing paid features will be communicated with at least 30 days' notice.
3. Account Registration
- You must provide accurate, complete and current information when creating an account.
- You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
- You must notify us immediately at info@grambit.io if you suspect unauthorised access to your account.
- We reserve the right to suspend or terminate accounts that violate these Terms or are used for unlawful purposes.
4. Payment Terms
- Billing cycle: Services are billed monthly or annually in advance, as specified in your chosen plan.
- Currency: All prices are in GBP unless otherwise stated. Applicable VAT will be added where required.
- Payment method: We accept payment by credit/debit card and bank transfer. Payments are processed by our third-party payment provider.
- Late payment: Invoices not paid within 14 days of the due date may incur interest at 4% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
- Refunds: Fees are non-refundable except where required by law or expressly stated in a specific promotion.
5. Service Level Agreement (SLA)
We target a monthly uptime of 99.9% for our core platform services ("Uptime Commitment"). Uptime is measured as the percentage of total minutes in a calendar month during which the Services are available, excluding scheduled maintenance.
- Scheduled maintenance: We will provide at least 48 hours' advance notice for planned maintenance windows via email or in-app notification.
- Service credits: If uptime falls below 99.9% in a given month, you may request a service credit equal to 5% of that month's fees for each full 0.1% below the Uptime Commitment, up to a maximum of 30% of the monthly fee.
- Exclusions: The SLA does not apply to downtime caused by force majeure, your own systems or third-party services outside our control, or abuse/misuse of the platform.
Service credit requests must be submitted within 30 days of the incident.
6. Acceptable Use
You agree not to use the Services to:
- Violate any applicable law, regulation or third-party rights.
- Distribute malware, conduct denial-of-service attacks or engage in any activity that compromises network security.
- Send unsolicited bulk communications (spam).
- Mine cryptocurrency unless expressly permitted under your plan.
- Store or process data that you do not have the lawful right to process.
We reserve the right to suspend Services immediately if we reasonably believe a violation has occurred, with notice provided as soon as practicable.
7. Intellectual Property
All intellectual property rights in the Services, including software, documentation, trademarks and logos, remain the exclusive property of Grambit Cloud Ltd. Nothing in these Terms grants you any right, title or interest in our IP beyond the limited right to use the Services during your subscription.
You retain all rights to your own data and content uploaded to the platform ("Customer Data"). You grant us a limited licence to host, process and transmit Customer Data solely to provide the Services.
8. Limitation of Liability
- To the maximum extent permitted by law, our total aggregate liability to you for any claims arising out of or relating to these Terms or the Services shall not exceed the total fees paid by you in the 12 months preceding the claim.
- We shall not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, data, business opportunity or goodwill.
- Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under English law.
9. Termination
- By you: You may cancel your subscription at any time via your account dashboard or by emailing info@grambit.io. Cancellation takes effect at the end of the current billing period.
- By us: We may terminate or suspend your access immediately if you breach these Terms, fail to pay outstanding invoices after a 14-day grace period, or if we are required to do so by law.
- Effect of termination: Upon termination, your right to access the Services ceases. We will retain your Customer Data for 30 days after termination, during which you may export it. After 30 days, we will delete it from our active systems.
10. Data Protection
We process personal data in accordance with our Privacy Policy and applicable data protection legislation, including the UK GDPR and the Data Protection Act 2018. Where we process Customer Data on your behalf, we act as a data processor and will enter into a Data Processing Agreement upon request.
11. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Before initiating formal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days.
12. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on our website at least 30 days before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.
